All orders, in whatever terms, are
accepted subject to the following terms and conditions which no person (save for
a director of the Company agreeing in writing) in the employment of or acting in
any way as agent of the Company, or purporting so to do, has power to vary.
Previous dealings between the Company
and any customer shall not vary or replace these terms or be deemed in any circumstances
so to do. The placing of an order is conclusive evidence before any court of law
or arbitrator that these terms apply. The acceptance by the Company of any order
for goods or services shall constitute an agreement to sell the goods or services
and not be a sale of them and no title to the goods or completed works shall pass
to the intending purchaser by reason of delivery, completion of works, or acceptance
of the same.
The Company shall remain the absolute
owner of the goods and services supplied until such time as the agreed price shall
have been paid to the Company. Until that time the intending purchaser shall be
a bailee of the goods or services for the Company and shall store them upon its
premises separately from its own goods or those of any other person and in a manner
which makes them readily identifiable as the goods of the Company. The goods and
services agreed to be sold shall be at the risk of the intending Purchaser as soon
as they are delivered, collected, or in the case of services, commenced.
Goods and services will be supplied
at the prices ruling at the date of despatch but where these differ from the prices
ruling at the time of ordering (or which were stated in any quotation order) then
the customer will be entitled either to approve the change or to cancel the order
in relation to the goods where the price has varied.
Should our stock or any specific size
or variety be exhausted or insufficient or not up to quality at the time of preparation
for delivery then the nearest size or variety will be supplied, subject to customer
approval and prices adjusted where appropriate.
Complaints regarding goods must be
received by the Company within twenty four hours of despatch; complaints regarding
services must be received by the Company within twenty four hours of that day's
work and supported in writing within seven days including that day. If the customer
fails to give such notice then the goods and or services shall be deemed in all
respects in accordance with the contract and the customer shall be bound to accept
and pay for the same in full accordingly. The Company shall be under no liability
for any loss of profit or consequential loss or liability of whatever incurred by
the customer as a result of any such breach of these terms and conditions.
Customers will be required to pay
for all goods and or services immediately on collection, delivery, or completion
of works except where account facilities have been previously expressly granted
in writing.
If account facilities are required
customers are asked to apply in writing, giving the name of their bank and two trade
references. Unless otherwise agreed in writing, where account facilities have been
granted payment shall be made by the end of the month following delivery of the
goods. Interest will be charged at a rate of 5% above the base lending rate of The
Royal Bank Of Scotland on a day to day basis on all outstanding monies after the
due date of payment has passed. The Company reserves the right to uplift at any
time if payment is not received within terms and conditions of conditions of sale.
Jackson
's may change the Site or these terms
at any time by posting notice of the changes on the Site. If you use the Site after
Jackson
's Nurseries has posted changes, you
will be bound by the new terms. You should therefore ensure that you read the terms
each time you use the Site.
These terms and your use of this Site
are governed by and construed in accordance with the laws of
England
and
Wales
and only Courts of England and
Wales
will decide any disputes.
